Joshua Kushner’s Thrive Holdings to Acquire ADT in $7.6 Billion All-Cash Deal
In a landmark move that signals a new era for the home security industry, Thrive Holdings, the investment vehicle led by Joshua Kushner, has agreed to acquire ADT in an all-cash transaction valued at $7.6 billion. This significant deal, initially reported by Bloomberg, is expected to close in the first quarter of 2027, effectively taking the long-standing security provider private. The acquisition marks a strategic pivot for ADT, moving it from public market scrutiny to a private entity focused on long-term technological integration and operational efficiency. Thrive Holdings, founded last year as an offshoot of Kushner’s venture capital firm Thrive Capital Management, has been described by TechCrunch as a "private equity firm for AI." The firm’s strategy involves purchasing traditional businesses, such as those in accounting and IT services, and applying artificial intelligence to optimize their workflows. Kushner, who is the brother of Jared Kushner, President Donald Trump’s son-in-law, is positioning Thrive Holdings to transform legacy industries through technology-driven operational improvements rather than mere financial restructuring. Although ADT operates a standalone home security service, it has established critical partnerships with major tech giants that allow its technicians to sell and install Google Nest devices, as well as Apple’s new lineup of smart home products. These integrations suggest that Thrive Holdings aims to leverage ADT’s extensive physical presence and customer base to further embed smart home technologies into the market, potentially creating a more seamless ecosystem for consumers who rely on both security and connectivity. Jim DeVries, CEO of ADT, emphasized the strategic synergy of the deal in a press release, stating, “With Thrive Holdings’ long-term capital and technology expertise, ADT will gain new opportunities to accelerate innovation, enhance the customer experience and bring greater peace of mind to even more homes and businesses.” The partnership promises to inject fresh capital and technological prowess into ADT’s operations, aiming to modernize its service delivery and customer engagement models. The broader implications of this acquisition extend beyond the security sector, highlighting a growing trend of AI-focused investment vehicles targeting established service industries. By taking ADT private, Thrive Holdings can implement long-term strategic changes without the pressure of quarterly earnings reports. This move underscores the increasing convergence of traditional security services with advanced technology, setting a precedent for how legacy firms in the smart home and security space may evolve in the coming years.
